NOTICE IN TERMS OF THE REGULATIONS REGARDING LICENSING PROCEDURES FOR TELECOMMUNICATIONS AND BROADCASTING SERVICE LICENCES AND SPECTRUM USE LICENCES

The Communications Regulatory Authority of Namibia, in terms of Regulation 11 and 19 of the 'Regulations Regarding Licensing Procedures for Telecommunications and Broadcasting Service Licences and Spectrum Use Licences', in Government Gazette No. 4785, Notice No. 272, dated 29 August 2011 herewith gives notice of the following person who is issued with a Spectrum Use Licence in terms of section 101 of the Communications Act, No. 8 of 2009:

The licenses are issued subject to the conditions for Spectrum Use Service Licenses to be published in terms of the Regulations Regarding Rule- Making Procedure. Note that the Authority is aware of overlaps in spectrum issued prior to the establishment of the Authority. Future allocation of spectrum will be done in accordance with sections 99, 100 and 101, specifically section 101(13) of the Act. Any overlaps in spectrum due to assignments done by NCC will be addressed following licence modification procedures as set out in regulations regarding licensing procedures for telecommunications and broadcasting service licences and spectrum use licences.

The Authority issues this decision based on the following reason:

The persons whose licenses are issued has complied with the 'Regulations Regarding Transitional Procedures for Telecommunications and Broadcasting Service Licences and Spectrum Use Licenses' and section 101 of the Communications Act.

REGULATIONS REGARDING CONFIDENTIAL INFORMATION AND CONFIDENTIAL COMMUNICATIONS WITH THE AUTHORITY

The Board of the Communications Regulatory Authority of Namibia, in terms of the 'Regulations Regarding Rule-Making Procedures: Communications Act, 2009' as published in Government Gazette No. 4630, Notice Number 334, dated 17 December 2010, and sections 28 and 29 of the Communications Act, 2009 (Act No. 8 of 2009) hereby publishes these 'Regulations Regarding Confidential Information and Confidential Communications with the Authority' effective from the date of publication in the Government Gazette.

Definitions

  1. In these regulations, any word or expression to which a meaning is assigned in the Act, shall have the same meaning and -

'Act' means the Communications Act, No. 8 of 2009.

Submission of documents to the Authority

  1. In these regulations, when persons are permitted or called upon to submit information to the Authority in writing, they may do so either physically or electronically -
  • (1) by hand to the head offices of the Authority, namely Communication House, 56 Robert Mugabe Avenue, Windhoek;
  • (2) by post to the head offices of the Authority, namely Private Bag 13309, Windhoek 9000;
  • (3) by electronic mail to the following address: legal@cran.na
  • (4) by facsimile to the following facsimile number: +264 61 222 790; or
  • (5) in any other manner or at alternative addresses set out by the Authority from time to time.

Applicability

  1. These regulations are applicable to -
  • (1) confidential information submitted to the Authority as contemplated in section 28 of the Act, and
  • (2) confidential communications with the Authority as contemplated in section 29 of the Act.

Confidential information

  1. (1) Subject to sub-regulation (4), any person submitting written information to the Authority may designate all or part of the information confidential, in terms of section 28(1) of the Act.
  • (2) If a person designates all or part of the information confidential, it must submit in writing to the Authority, clear and concise reasons why the information is designated confidential.
  • (3) If the Authority has reason to believe that the designated information is not confidential, it will inform the person along with its reasons for that belief, and inform the person that she may withdraw the information, consent that it will not be treated as confidential, or request a hearing on the issue of confidentiality to be conducted in terms of section 28 of the Act.
  • (4) Any information that is required to be made public by a person or the Authority in terms of the Act or any regulations made in terms of the Act, may not be designated confidential.

Hearings

  1. (1) If the person claiming confidentiality in terms of section 28(3)(c) of the Act requests a hearing, the Authority may hold either a paper hearing or an oral hearing or both.
  • (2) In terms of section 28(4), the burden of proof lies with the person claiming confidentiality.

Written Submissions (Paper hearings)

  1. (1) If the Authority decides to hold a paper hearing, it will invite the person requesting the hearing to submit in writing to the Authority reasons why the person disagrees with the Authority's belief that the designated information is not confidential, within the time set out in the invitation.
  • (2) The Authority may request further written or oral submissions which must be provided to the Authority in the manner set out by the Authority.
  • (3) All written submissions must -
  1. (a) contain the name and contact details of the person making the submission and the name and contact details of the person for whom the submission is made, if different;
  2. (b) be clear and concise; and
  3. (c) conform to any further requirements determined by the Authority.

Oral hearings

  1. (1) If the Authority decides to hold an oral hearing, it will invite the person requesting the hearing to make oral submissions to the Authority with regard to the reasons why the person disagrees with the Authority's belief that the designated information is not confidential, within the time set out in the invitation.
  • (2) The format and agenda of the hearing is at the discretion of the Authority.
  • (3) All oral submissions must -
  1. (a) include a statement indicating the name and contact details of the person making the oral submission and the name and contact details of the person for whom the oral submission is made, if different;
  2. (b) be clear and concise; and
  3. (c) conform to any further requirements determined by the Authority.
  • (4) The Authority may request further oral or written submissions, which must be provided to the Authority in the manner set out by the Authority.

Decisions of the Authority

  1. (1) At the conclusion of the hearing, the Authority will decide whether the designated information is confidential.
  • (2) The Authority's decision and reasons will be communicated to the person requesting the hearing, and if the decision is that the information is not confidential, the Authority will inform the person that she may withdraw the information or consent that it will not be treated as confidential.

Ex Parte Communications

  1. A person may not communicate with the members of the Board, the CEO or staff members of, or consultants to the Authority, to discuss the subject matter of request for confidentiality, except as provided for herein.

Record of proceedings

  1. (1) All documents deemed relevant by the Authority to the proceedings contemplated by these regulations, including the Authority's decision and reasons, must be maintained by the Authority in its files located at the head offices of the Authority.
  • (2) Except for confidential information, any person may examine the Authority's files at the head offices of the Authority during normal business hours and copies may be made on payment of a fee determined by the Authority from time to time, and, if available, on the Authority's website where copies may be downloaded free of charge.

Reconsideration

  1. (1) The Authority may, on its own, reconsider any decision made in terms of these regulations within the time set out in section 31 of the Act.
  • (2) Any person may submit to the Authority in writing a request to reconsider any decision made in terms of these regulations within 30 days of notice of the decision, and the Authority must reconsider such regulation within the time set out in section 31 of the Act.
  • (3) The Authority may publish in Government Gazette its decision on reconsideration without further submissions being received, or it may provide an opportunity for further submissions in a manner set out by the Authority.

Confidential communications with the Authority

  1. (1) Subject to sub-regulation (2), a person may submit in writing to the Authority a request for a confidential meeting with the Authority, in terms of section 29(1) of the Act.
  • (2) A person may not request a confidential meeting with the Authority -
  1. (a) if the topic(s) of the meeting concerns information that the Authority believes or has decided is not confidential in terms of the Act and these regulations; or
  2. (b) if that person is prohibited from engaging in ex parte communications with the Authority on the topic(s) of the requested meeting by any regulations made in terms of Act.
  • (3) The request for a confidential meeting with the Authority must include -
  1. (a) the name and contact details of the person making the request and the name and contact details of the person for whom the request is made, if different;
  2. (b) a clear and concise statement(s) of the topic(s) of the meeting;
  3. (c) a list of all the persons who will attend the meeting; and
  4. (d) a list of all of the written information, if any, that will be submitted to the Authority at the meeting.
  • (4) If the Authority grants the request in terms of section 29(3) of the Act, it will publish notice of the meeting in the Government Gazette at least seven days prior to the meeting, provided that if the person requesting the meeting has shown sufficient cause for urgency, publication in the Government Gazette may be made less than seven days.
  • (5) At the conclusion of the meeting, the Authority will prepare a report setting out all relevant details of the meeting and keep that report in its files located at the head offices of the Authority.
  • (6) Any written information submitted to the Authority at the meeting will be treated as if designated confidential in terms of section 28 of the Act, in which case the regulations herein regarding confidential information will apply, subject to section 29(5) of the Act.

REGULATIONS REGARDING LICENCE CONDITIONS FOR TELECOMMUNICATIONS SERVICE LICENCES

The Board of the Communications Regulatory Authority of Namibia, in terms of sections 38 and 39 of the Communications Act, of 2009 (Act No. 8 of 2009) read with regulation 11 of the 'Regulations Regarding Rule-Making Procedures: Communications Act', as published in Government Gazette

4630, Notice No. 334, hereby publishes these 'Regulations Regarding License Conditions for Telecommunications Service Licences' effective from the date of publication in the Government Gazette.

Definitions

  1. In these regulations, any word or expression to which a meaning is assigned in the Act, shall have the same meaning and -

'Act' means the Communications Act, 2009 (Act No. 8 of 2009).

Purpose

  1. These regulations impose conditions on telecommunications service licensees in addition to the conditions imposed by the Act.

Applicability

  1. These regulations are applicable to -
  2. (a) All telecommunications service licensees.

Authorisation

  1. (1) All ECS licensees, issued with a telecommunications service are duly authorised to provide telecommunications services in terms of the 'Regulations Setting out Broadcasting and Telecommunications Service Licence Categories' as published in Government Gazette 4714, Notice No. 124, dated 18 May 2011.
  • (2) All licensees issued with an ECNS and Comprehensive telecommunications service (ECS and ECNS) licence are duly authorised to install, maintain and operate the necessary infrastructure in that regard to provide telecommunications services in terms of the 'Regulations Setting out Broadcasting and Telecommunications Service Licence Categories' as published in Government Gazette 4714, Notice No. 124, dated 18 May 2011.

Licence Area

  1. The licence area is the Republic of Namibia or any part thereof.

Hours of Operation

  1. (1) A Licensee must provide an electronic communication network and services for twenty four (24) hours, three hundred and sixty five (365) days per year.
  • (2) Where a Licensee cannot provide the licensed network and/or service due to circumstances beyond its control for a continuous period of twelve (12) hours or longer, the licensee must notify the Authority in writing of such circumstances within twelve (12) hours.

Technical conditions

  1. The licensees shall comply with the technical conditions as will be prescribed in terms of sections 38, 39, 44, 48, 49, 50, and 80 of the Act as well as any specific terms and conditions contained in the licence.

Quality of Service

  1. The licensees shall comply with quality of service standards as prescribed by the Authority from time to time in terms of the rule-making regulations with regard to network quality, infrastructure, billing and service quality.

Publication of tariffs and fees

  1. As per section 53 of the Act, the licensee must provide the Authority will all tariffs and fees pertaining to electronic communication services offered, including infrastructure sharing subject to section 50 of the Act.

Competition

  1. The licensees shall comply with sections 33, 35 and 48 of the Act.

Consumer Protection

  1. The licensees shall comply with the provisions relating to consumer protection as prescribed in terms of sections 79 of the Act as well as any specific terms and conditions contained in the rule-making regulations for quality of service.

Interconnection

  1. Licensees have the obligation to interconnect with other licensees in compliance with section 49 of the Act within thirty (30) days from receiving a formal request for another licensees subject to the provisions contained in section 49 of the Act

Infrastructure Sharing

  1. Licensees have the rights and obligations to lease facilities from and to any other licensee, subject to and in accordance with arrangements agreed between them, failing which the Authority may take the appropriate steps in terms of sections 48 and 50 of the Act.

Rights of way

  1. (1) All licensees issued with an ECNS and Comprehensive telecommunications service (ECS and ECNS) licence are granted rights in terms of section 59 of the Act in so far as it has been made applicable to them in terms of section 38(12) or 38(13).
  • (2) Subject to subparagraph 12(1) all licensees must comply with the provisions of section 60 to 68 of the Act in providing infrastructure and services as part of their licence obligations.

Safety Measures

  1. Licensees shall, in respect of all apparatus, equipment and installations that it owns, leases or uses, take such measures as may be prescribed and in any event such reasonable and necessary safety measures to safeguard life or property, and limit exposure to electromagnetic emission and related risks as contained in section 80 of the Act.

Payment of Fees

  1. (1) Licences shall only be awarded after payment of the applicable fees to the Authority.
  • (2) Except for community broadcasting licensees, licensees shall pay an annual regulatory levy as determined by the Authority in terms of section 23 , from time to time, as per its annual financial statements as approved by its independent auditors and members, in terms of the relevant regulation.
  • (3) The levy shall be payable within sixty (60) days of the Act, from the date of approval of its annual financial statements in terms of section 55.
  • (4) The licensees shall submit their annual financial statements to the Authority in terms of section 91 of the Act.
  • (5) The Authority shall not be obliged to issue an invoice to the licensee but shall issue a receipt upon receipt of the verified and correct payment.

Duration of licences

  1. (1) In terms of section 38(9), the authorisation to provide telecommunications services shall automatically expire after 15 years, from the date of publishing of final licence conditions in the Government Gazette.
  • (2) Licensees shall apply to renew their licences six (6) months prior to the expiry of the licence in terms of section 40 and 42 of the Act.
  • (3) In terms of section 42(3) of the Act, in the event that the licensees fail to settle fees payable, the Authority may declare the licence to be forfeited.
  • (4) A licence will lapse six (6) months after the date of the issue of that licence in the event that no commercial telecommunications services are provided under that licence. The Authority may, after considering a written request from a licensee, extend, in writing, for such further periods as may be determined by the Authority and, if applicable, condone the licensee's failure to commence rendering telecommunications services timeously, in which event the licence will lapse at the expiry of such extended period.

Ownership and control

  1. The licence shall be awarded subject to section 46 of the Act.

Amendment, renewal and transfer of licence or transfer of control of licence

  1. For the amendment, renewal and transfer of licence or transfer of control of licence, the licensee shall comply with the 'Regulations Regarding Licensing Procedures for Telecommunications and Broadcasting Service Licences and Spectrum Use Licences', published in Government Gazette No. 4785, Notice Number 272, dated 29 August 2011, as may be amended from time to time.

Reporting, monitoring and compliance

  1. (1) The Authority may request any information in the format as requested by the Authority and, determined by it as relevant from the licensees for the purposes of monitoring and ensuring compliance with the Act and the regulations prescribed by the Authority, to which request the licensee shall comply in the manner set out by the Authority and in terms of section 55 of the Act.
  • (2) The Authority may, in the course of carrying out its obligations under the Act require a Licensee to provide information, so as to enable it to:

  • (a) Monitor and enforce consumer protection, quality of service, competition, compliance with licence conditions and other requirements of the Act and related legislation;

  • (b) Facilitate efficient use of scarce resources;

  • (c) collect and compile information to be used for the purpose of sectoral analysis, planning, reporting and conducting inquiries.

  • (3) In respect to each request for information referred to in sub-clause (2), except where otherwise addressed in applicable regulations, the Authority will provide a detailed specification of its information request, applicable response times and identify a contact person to whom queries may be addressed.

Regulatory offences

  1. The Authority will prosecute regulatory offences and enforce these licence conditions in terms of sections 114 and 115 of the Act.

Universal Service Fund

  1. Licensees may be granted universal service obligations and/or may be required to contribute towards the Universal Service Fund in the manner as prescribed by the Authority in terms of relevant legislation and regulations, in the manner as set forth by the Authority, from time to time.

Revocation of licence

  1. The licence may be revoked in terms of sections 42 and 115 of the Act.

Amendment of licence conditions

  1. The Authority may amend these conditions from time to time in terms of the rulemaking procedure regulations.

Supervision by authority

  1. The Authority shall supervise compliance with these conditions in terms of sections, 114 and 115 of the Act.

Duty to furnish information

  1. The licensees are obliged to supply information in advance to the Authority in terms of section 55 relating to changes regarding its contact details, contact persons, statistics on its communications services, intended change of ownership, intended change of control, change of business address, court orders made against it, or any matter that materially affects its licensed operations, but not limited thereto and as may be reasonably required to meet the objections of the Act.

The Board of the Communications Regulatory Authority of Namibia, in terms of sections 86 of the Communications Act, of 2009 (Act No. 8 of 2009) read with regulation 11 of the 'Regulations Regarding Rule-Making Procedures: Communications Act', as published in Government Gazette 4630, Notice No. 334, hereby publishes these 'Regulations Regarding License Conditions for Broadcasting Service Licences' effective from the date of publication in the Gazette.

Definitions

  1. In these regulations, any word or expression to which a meaning is assigned in the Act, shall have the same meaning and -

'Act' means the Communications Act, 2009 (Act No. 8 of 2009).

Purpose

  1. These regulations impose conditions on broadcasting licences in addition to the conditions imposed by the Act.

Applicability

  1. These regulations are applicable to -
  • (1) All broadcasting service licensees, except for the Namibian Broadcasting Corporation.
  • (2) These regulations shall be applicable to the Namibian Broadcasting Corporation from the date determined by the Minister in terms of section 93(1) and (3) of the Act and subject to the provisions of section 86(2)(d), (e), (f) and (g).

Authorisation

  1. (1) All licensees, issued with a broadcasting licence in accordance with Annexure A, are duly authorised to provide broadcasting services as and to install, maintain and operate the necessary infrastructure in that regard. Furthermore all licensees are authorised to operate their own multiplexer equipment and electronic communications network for signal distribution for the purpose of delivering broadcasting services on their own behalf.
  • (2) The licence shall be awarded in accordance with the provisions section 85(8) of the Act.
  • (3) Licensees shall inform the Authority in writing of its intentions to provide both radio and/or television broadcasting services sixty (60) days prior to providing such services, in the event it did not provide that service in the past.

Signal distribution

  1. Subject to applying for and being granted a spectrum use licence(s), all licensees, issued with a broadcasting licence in accordance with Annexure A, are duly authorised to provide

their own broadcasting signal and to distribute such signal, and to install, maintain and operate the necessary infrastructure including multiplexer equipment in that regard, except in the event the respective licensee agrees with another party to provide signal distribution services for and on its behalf.

Technical conditions

  1. The licensees shall comply with the technical conditions as will be prescribed in terms of section 86 of the Act.

Competition

  1. The licensees shall comply with sections 33 to 35 of the Act.

Facilities Leasing

  1. Licensees have the rights and obligations to lease facilities from and to any other licensee, subject to and in accordance with arrangements agreed between them, failing which the Authority may take the appropriate steps.

  1. Licensees shall, in respect of all apparatus, equipment and installations that it owns, leases or uses, take such measures as may be prescribed and in any event such reasonable and necessary safety measures to safeguard life or property, and limit exposure to electromagnetic emission and related risks.

Broadcasting code

  1. The Authority may make a broadcasting code in terms of sections 89 of the Act and shall enforce compliance with such code in terms of section 90 of the Act.

Payment of Fees

  1. (1) Licences shall only be awarded after payment of the applicable fees to the Authority.
  • (2) Except for community broadcasting licensees, licensees shall pay an annual regulatory levy as determined by the Authority in terms of section 23, from time to time, as per its annual financial statements as approved by its independent auditors and members, in terms of the relevant regulation.
  • (3) The levy shall be payable within sixty (60) days in terms of section 88 of the Act, from the date of approval of its annual financial statements.
  • (4) The licensees shall submit their annual financial statements to the Authority in terms of section 91 of the Act.
  • (5) The Authority shall not be obliged to issue an invoice to the licensee but shall issue a receipt upon receipt of the verified and correct payment.

Duration of licences

  1. (1) In terms of section 87(1)(a), the authorisation to provide radio broadcasting services shall automatically expire after five (5) years, from the date of issue of the broadcasting licence by the Authority, with respect to a licensee providing radio broadcasting services.
  • (2) In terms of section 87(1)(b), the authorisation to provide television broadcasting services shall automatically expire after ten (10) years, from the date of issue of the broadcasting licence by the Authority, with respect to a licensee providing television broadcasting services.
  • (3) Licensees shall apply to renew their licences prior to the expiry of the licence in terms of section 87(3) of the Act and as set out in the 'Regulations Regarding Licensing Procedures for Telecommunications and Broadcasting Service Licences and Spectrum Use Licenses', published in Government Gazette No. 4785, Notice Number 272, dated 29 August 2011, as may be amended from time to time.
  • (4) In terms of section 87(7) of the Act, in the event licensees fail to commence broadcasting services within a period of six (6) months from the date of issue of the licence, such licence shall automatically expire at the end of the six (6) month period, without the Authority having to give notice to the licensee, unless as otherwise approved by the Authority in advance.

Ownership and control

  1. The licence shall be awarded subject to section 85 of the Act.

Amendment, renewal and transfer of licence or transfer of control of licence

  1. For the Amendment, renewal and transfer of licence or transfer of control of licence, the licensee shall comply with the 'Regulations Regarding Licensing Procedures for Telecommunications and Broadcasting Service Licences and Spectrum Use Licences', published in Government Gazette No. 4785, Notice Number 272, dated 29 August 2011, as may be amended from time to time.

Reporting, monitoring and compliance

  1. The Authority may request any information, determined by it as relevant from the licensees for the purposes of monitoring and ensuring compliance with the Act and the regulations prescribed by the Authority, to which request the licensee shall comply in the manner set out by the Authority and in terms of sections 90, 114 - 126 of the Act.

Regulatory offences

  1. The Authority will prosecute regulatory offences and enforce these licence conditions in terms of sections 114 and 115 of the Act.

Universal Service Fund and Obligations

  1. Licensees may be granted universal service obligations and/or may be required to contribute towards the Universal Service Fund in the manner as prescribed by the Authority in terms of relevant legislation and regulations, in the manner as set forth by the Authority, from time to time.

Revocation of licence

  1. The licence may be revoked in terms of sections 90, 114 and 115 of the Act.

Amendment of licence conditions

  1. The Authority may amend these conditions from time to time.

Supervision by authority

  1. The Authority shall supervise compliance with these conditions in terms of sections 90, 114 and 115 of the Act.

Duty to furnish information

  1. The licensees are obliged to supply information in advance to the Authority relating to changes regarding its contact details, contact persons, statistics on its broadcasting services, intended change of ownership, intended change of control, change of business address, court orders made against it, or any matter that materially affects its licensed operations, but not limited thereto.

REGULATIONS REGARDING HEARINGS

The Board of the Communications Regulatory Authority of Namibia in terms of sections 30(1)-(2), read with section 129, of the Communications Act, 2009 (Act No. 8 of 2009), hereby publishes these 'Regulations Regarding Hearings' effective from the date of publication in the Gazette .

Definitions

  1. In these regulations, any word or expression to which a meaning is assigned in the Act, shall have the same meaning and -

'Act' means the Communications Act, 2009 (Act No. 8 of 2009).

Submission of documents to the Authority

  1. In these regulations, when persons are permitted or called upon to submit information to the Authority in writing, they may do so either physically or electronically -
  • (1) by hand to the head offices of the Authority, namely Communication House, No 56 Robert Mugabe Avenue, Windhoek;
  • (2) by post to the head offices of the Authority, namely Private Bag 13309, Windhoek 9000;
  • (3) by electronic mail to the following address: legal@cran.na
  • (4) by facsimile to the following facsimile number: +264 61 222790; or
  • (5) in any other manner or at alternative addresses set out by the Authority from time to time.

Applicability

  1. (1) These regulations are applicable to hearings conducted by the Authority in terms of the Act or regulations made in terms of the Act.
  • (2) These regulations must be read with any relevant provisions of the Act and any regulations made in terms of the Act.

The Authority's discretion to hold hearings

  1. If the Act or regulations require the Authority to hold a hearing or if the Authority exercises its discretion to hold a hearing, except if there is a specific requirement to hold a paper (by submitting written submissions) or oral hearing, the Authority may hold either a paper hearing or an oral hearing or both.

Written Submission (Paper hearings)

  1. (1) If the Authority decides to hold a paper hearing, it will invite all relevant persons in terms of the Act and regulations, to submit in writing to the Authority written representations, within the time set out in the invitation.

  • (2) If the Authority considers it necessary or appropriate, it will provide the opportunity for written responses to written submissions and for written replies to written responses.

  • (3) Written responses and written replies must be submitted in writing to the Authority within the time set out by the Authority.

  • (4) The times for the submission of written representations, responses and replies will be determined by the Authority in light of the nature of the hearing.

  • (5) The Authority may consider written submissions not timeously filed, if, in its opinion, it is practicable and appropriate to do so.

  • (6) The Authority may request further written or oral submissions which must be provided to the Authority in the manner set out by the Authority.

  • (7) All written submissions must -

  • (a) contain the name and contact details of the person making the submission and the name and contact details of the person for whom the submission is made, if different;

  • (b) be clear and concise; and

  • (c) conform to any further requirements determined by the Authority.

Oral hearings

  1. (1) If the Authority decides to hold an oral hearing, it will invite all relevant persons in terms of the Act and regulations to make oral submissions at the time set out in the invitation.
  • (2) Unless otherwise specified by the Authority, hearings will be open to the public.

  • (3) The format and agenda of the hearing is at the discretion of the Authority, depending on the nature of the hearing.

  • (4) The Authority may request further oral or written submissions, which must be provided to the Authority in the manner set out by the Authority.

  • (5) All oral submissions must -

  • (a) include a statement indicating the name and contact details of the person making the oral submission and the name and contact details of the person for whom the oral submission is made, if different;

  • (b) be clear and concise; and

  • (c) conform to any further requirements determined by the Authority.

Decisions of the Authority

  1. (1) After the conclusion of the hearing, the Authority will decide the issue or issues required to be decided in terms of the Act or regulations.
  • (2) The Authority's decision and reasons will be communicated to all relevant persons within sixty (60) days from date of hearing and may be published in the Gazette .

  • (3) The Authority will keep a register of decisions, which will be held at the head offices of the Authority and if practicable, on the Authority's website.

  • (4) Except for confidential information, any person may examine any decision and reasons at the head offices of the Authority during normal business hours and copies may be made on payment of a fee determined by the Authority from time to time, and, if available, on the Authority's website where copies may be downloaded free of charge.

Confidential information and communications

  1. (1) Any person providing written information to the Authority may designate all or part of the information, confidential, in terms of section 28(1) of the Act, in which case, the Authority's Regulations regarding Confidential Information and Confidential Communications with the Authority will apply.
  • (2) Any person making oral submissions may request a closed hearing on the grounds that the submissions are confidential, in which case, the submissions will be treated as a confidential meeting in terms of section 29 of the Act and the Authority's Regulations regarding Confidential Information and Confidential Communications with the Authority will apply.

Ex Parte communications

  1. A person may not communicate with the members of the Board, the CEO or staff members of, or consultants to the Authority, to discuss the subject matter of request for confidentiality proceeding, except as provided for herein.

Record of proceedings

  1. (1) All documents deemed relevant by the Authority to the hearings contemplated by these regulations must be maintained by the Authority in its files located at the head offices of the Authority.
  • (2) Except for confidential information, any person may examine the Authority's files at the head offices of the Authority during normal business hours and copies may be made on payment of a fee determined by the Authority from time to time, and, if available, on the Authority's website where copies may be downloaded free of charge.

Reconsideration

  1. (1) The Authority may, on its own, reconsider any decision made in terms of these regulations within the time set out in section 31 of the Act.
  • (2) Any person may submit to the Authority in writing a request to reconsider any decision made in terms of these regulations within 30 days of notice of the decision, and the Authority must reconsider such decision within the time set out in section 31 of the Act.
  • (3) The Authority may publish its decision on reconsideration without further submissions being received, or it may provide an opportunity for further submissions in a manner set out by the Authority.

REGULATIONS REGARDING ADMINISTRATIVE AND LICENCE FEES FOR SERVICE LICENCES

Reasons for decision

With regards to Telecommunication Services, section 23 of the Communications Act, 2009 provides that CRAN may, after a rule making procedure, impose a regulatory levy on providers of communications services. Section 38(10)(f) provides that CRAN may impose on licensees the fees payable for the grant, management and control of a licence. Section 42(3) provides that CRAN may declare a licence to be forfeited if any fees or any other amount payable to CRAN by a licensee are not paid.

With regards to Broadcasting Services, section 85(1) of the Communications Act, 2009 provides that CRAN may determine prescribed fees in respect of broadcasting licences. Section 88 provides that CRAN may declare a licence to be forfeited if any fees are not paid.

Section 129 provides that CRAN may make regulations prescribing fees payable to it when applications are made and when licences are issued.

Accordingly, CRAN has made application and licence fees applicable to telecommunications and broadcasting service licences.

In respect of the above, CRAN has published draft regulations and received public comments regarding the fees for renewal applications being too high and thus should be reduced. In contrast comments were also received that the application fees were low. CRAN has decided to keep the application fees as per the draft regulations. According to the Communications Act No.8 of 2009, renewal are to be made every 5 to 10 years and should not impact on business of licensees adversely. In addition the application fees will be adjusted in terms of Regulation 5, with the Consumer Price Index annually.

Further comments were received; particularly with regards to the Telecommunications Individual Comprehensive (ECNS and ECS) licences and that the fees should only be paid on the telecommunications related business. CRAN is of the view that the levy that is charged is on electronic communication network services and on electronic communication services. Furthermore licensees are reminded that the licenses are service and technology neutral. CRAN does regulate telecommunications equipment and thus incurs administrative costs in this respect. If CRAN has to implement a chart of accounts and cost allocation manual it would be an administrative burden for both CRAN and the licensees. CRAN is however at looking conducting a study regarding costs accounting procedures in this regard, which will address this matter.

Further, CRAN has in benchmarking itself to neighbouring countries found that they have not successfully implemented a chart of accounts and cost allocation manuals and that it took years to devise and implement same.

CRAN has considered the comments made regarding the usage of net profit or gross profit as a percentage of the annual license fees. CRAN is of the view that these create measurement challenges and therefore calculation on annual license fees will remain on turnover, especially given the fact that cost accounting procedures are yet to be fully investigated for implementation. Turnover has been used as a basis in many countries benchmarked for the purpose of this study.

CRAN has however considered the comments on the percentage of the annual license fee and has decided on using a progressive licence fee formula, in terms of which the percentage of turnover payable as a license fee is based on a formula that caps the maximum percentage at 1.5%.

In addition to the progressive licence fee formula all licensees shall pay a annual regulatory administrative levy as per regulation (3) below.

The formula is designed in a way so that the percentage levy increases evenly from 0% to 1.5% for turnover ranging from zero to one billion Namibian dollars. Licensees with less than one billion N$ turnover pay a lower percentage and only licensees and operators that exceed one billion Namibian dollars in turnover pay the full levy.

The formula works as follows: Levy %=Minimum (1.5%, 0.00000000002Turnover). The formula selects the lower value out of 1.5% and 0.00000000002turnover.

Examples:

  • a) 5 million turnover: Minimum (1.5%, 0.00000000002*5,000,000) =0.01%.
  • b) 500 million turnover: Minimum (1.5%, 0.00000000002*500,000,000) =1%.
  • c) 2 billion turnover: Minimum (1.5%, 0.00000000002*2,000,000,000) =1,5%.

Please note that 0.00000000002*2,000,000,000=4% and hence the lower 1.5% is selected.

This progressive license fee formula has the following advantages:

  • A single formula can be applied to all sectors and licensees.
  • Smaller licensees and new entrants are paying a much smaller levy percentage, which encourages market entry and competition.
  • Once a licensee has reached a turnover of one billion Namibian dollars, the full levy becomes applicable.
  • The progressive license fee formula reduces the market exit risk while maintaining a sound base for the funding of CRAN in order to defray its expenses.
  • The progressive licence fee formula and the annual regulatory administrative levy is not unreasonably discriminatory.

CRAN would like the industry to note that it is in the setting up phase and that there are various regulatory projects that need to be rolled out to ensure that CRAN can regulate the sector effectively. Additionally, CRAN is looking at additional transfer of funds from government to address its regulatory program.

Regulations Regarding the Application and Licence Fees for Service Licences

The Board of the Communications Regulatory Authority of Namibia hereby publishes these Regulations Regarding Application and Licence Fees for Service Licences, in terms of sections 23, 38(10)(f), 42(3), 85(1), 88, and 129 of the Communications Act, 2009 (Act No. 8 of 2009), which regulations amend Notices No. 212 and No. 213 in Government Gazette No. 3942 dated 13 November 2007 and Notice No. 108 in Government Gazette No. 3858 dated 15 June 2007, insofar as they are inconsistent with these new regulations.

Definitions

  1. In these regulations, any word or expression to which a meaning is assigned in the Act, shall have the same meaning and -

'Act' means the Communications Act, 2009 (Act No. 8 of 2009).

Purpose

  1. (1) These regulations set out the application fees applicable to -
  2. (a) Telecommunications service licence applications;
  3. (b) Broadcasting service licence applications;
  4. (c) Licence transfer applications (for telecommunications service and broadcasting service);
  5. (d) Licence amendment applications (for telecommunications service and broadcasting service); and
  6. (e) Licence renewal applications (for telecommunications service, broadcasting service and spectrum use).
  • (2) These regulations set out the annual licence fees applicable to -
  1. (a) Telecommunications service licences; and
  2. (b) Broadcasting service licences.

Administrative Fees

  1. The administrative fees applicable to licences are set out in the table below, in relation to each of the different licence types as set out and defined in the Regulations Setting out Broadcasting and Telecommunications Service Licence Categories, published in Government Gazette No. 4714 dated 18 May 2011, amended from time to time.

Payment of Application Fees

  1. (1) The application fee must be paid by way of electronic transfer or direct deposit into the Authority's bank account.
  • (2) The application fee must be paid on or before the day the application is submitted to the Authority.
  • (3) The applicant must submit documentary proof of payment of the application fee with the submission of the application to the Authority.
  • (4) Application fees are non-refundable.
  • (5) The Authority will not process an application where the applicant fails to pay the applicable application fee or fails to submit proof thereof to the Authority.

Annual Adjustments in respect of Fees

  1. The fees may be adjusted in relation to the Consumer Price Index as published by the Bank of Namibia, as determined by the Authority from time to time, and such adjustments will be published in the Gazette.

Licence Fees

  1. The annual licence fees applicable to licences are set out in the table below, in relation to each of the different licence types as set out and defined in the Regulations Setting out Broadcasting and Telecommunications Service Licence Categories, published in Government Gazette No. 4714 dated 18 May 2011, as may be amended from time to time.

Payment of Licence Fees

  1. (1) The licence fee must be paid by way of electronic transfer or direct deposit into the Authority's bank account.
  • (2) The licence fee must be paid on or before the due date, which is six months after the licensee's financial year end.

  • (3) Licence fees which are based on a percentage of turnover must be calculated based on the licensee's audited annual financial statements, or, if the licensee is not required by law to audit its financial statements, on the annual financial statements signed and sworn by the accounting officer of the licensee.

  • (4) For the purposes of these regulations, turnover is turnover excluding value added tax.

  • (5) The licensee's annual audited (or signed and sworn) financial statements must be submitted to the Authority on or before the due date for payment of the licence fee, which submission must be accompanied by documentary proof of payment of the licence fee.

Interest and Penalties in respect of Payment of Licence Fees

  1. (1) If a licensee fails to pay its annual licence fee or fails to submit its annual audited (or signed and sworn) financial statements on or before the due date, the licensee may also pay interest on the overdue amount from the due date to the date of payment (or the dates of submission of its annual audited (or signed and sworn) financial statements), at the rate of three percent above the then current overdraft interest rate being charged by the Authority's bankers.
  • (2) If a licensee fails to pay its annual licence fee or fails to submit its annual audited (or signed and sworn) financial statements within 45 days after the due date, the licensee may, in addition to paying interest as set out above, also pay a late payment penalty of 25 percent of the overdue amount.
  • (3) If a licensee fails to pay its annual licence fee or submit its annual audited (or signed and sworn) financial statements within 120 days after the due date, the licensee may, in addition to paying the interest set out above, must either -
  1. (a) also pay a late payment penalty up to 50 percent of the overdue amount; or
  2. (b) surrender its licence or licences to the Authority.
  • (4) If a licensee fails to pay its annual licence fee or submit its annual audited (or signed and sworn) financial statements and fails to pay interest and the late payment penalty set out above, within six months after the due date, and fails to surrender its licence or licences to the Authority, the Authority shall, after following a due process specified under regulations (6) and (7) below, declare the licence (and related spectrum use or other licences) forfeited and/or impose a fine not exceeding N$5 000 000.00.
  • (5) The Authority must before imposing an interest rate penalty, late payment penalty or before declaring the forfeiture of a license of a licensee as a result of the late submission of annual financial statements and late payment of its annual license and non-surrender of the licence, follow a due process as described in regulations (6) and (7) below.
  • (6) The Authority must, give the licensee an opportunity to be heard and shall grant a period of not less than 14 days to the licensee within which to make representations to the Authority about the matter.
  • (7) After consideration of the representations referred to or if no such representations have been made the Authority may determine whether to impose the interest rate penalty, late payment penalty or declare the forfeiture of the license of the licensee.
