REGULATIONSREGARDINGLICENSINGPROCEDURESFOR TELECOMMUNICATIONSANDBROADCASTINGSERVICELICENCESANDSPECTRUM USELICENCES
TheBoard of the CommunicationsRegulatoryAuthority ofNamibia,havingreconsideredthe "RegulationsRegardingLicensingProceduresfor Telecommunicationsand BroadcastingService Licences and SpectrumUse Licences"published in Government Gazette 4714,No.127of 2011, dated 18May 2011,hereby publishes these"Regulations Regarding Licensing Procedures for Telecommunications andBroadcastingServiceLicencesandSpectrumUse Licences"in termsof sections 40,85and101,readwith section129of theCommunicationsAct,No.8of2009,effective retrospectivelyfrom thedatetheActcomesintooperationasdeterminedbytheMinisterintermsof section136(1)of theAct.
Definitions
- In these regulations,anyword or expression towhich a meaningis assigned in the Act,shall have the same meaning and -
"Act"means the Communications Act No.8 of 2009.
SubmissionofdocumentstotheAuthority
- electronically-
- (1) byhand to thehead officesof theAuthority,namely CommunicationHouse,56 Robert MugabeAvenue,Windhoek orat any otheraddressset out by theAuthorityfromtime totime;
- (2) bypost to the headoffices of theAuthority,namelyPrivateBag13309,Windhoek 9000 or at any other address set out by the Authorityfrom time to time;
- (3) byelectronicmail to thefollowing address:cran@cran.na or at any other addressset out by the Authority from time to time;

Applicability
- These regulations are applicable to -
- (1) Class telecommunicationsservicelicence applications;
- (2) Broadcasting service licence applications;
- (3) Spectrum use licence applications,where the Authority,in its sole discretion, determines that spectrum use licence applications willbe processed on a first come,first served basis;
COMMUNICATIONSREGULATORYAUTHORITYOFNAMIBIA
-
(4) Licence transferapplications(for telecommunicationsservice,broadcastingservice and spectrum use);
-
(5) Licence amendment applications (for telecommunications service,broadcasting service and spectrumuse);
-
(6) Licencerenewal applications(fortelecommunicationsservice,broadcastingservice and spectrum use); and
-
(7) Withdrawal of licences by licensees (for telecommunications service,broadcasting service and spectrumuse).
ClassTelecommunicationsService licence applications
- (1) Apersonintendingtoprovideaclasstelecommunicationsservicemust submit,inwritingto theAuthority,anapplicationfora classtelecommunicationsservicelicence in theformmadeavailablebytheAuthority.
-
(2) The application must -
-
(a) setoutthefullandofficialnameofthepersonintendingtoprovideaclass telecommunicationsservice(applicant),andifanaturalperson,theidentitynumber of that person,and if a juristic person,the registration number of that person;
-
(b) setoutthenameofthecontactperson(ifdifferentfrom theapplicant)andthe following contact details-
-
(i) physical address;
-
(i) postal address;
-
(ii) telephone number(s);
-
(iv) facsimile numbers(s);and
-
(v) electronicmail address(es);
-
(C) set outfull details of all ownershipinterests inthe applicant,including theidentity and nationality of holders of ownershipinterests and if the holders of ownership interests are juristic persons,full details of all their ownership interests;
-
(d) setoutfulldetailsregardingforeign ownershipinterestsintheapplicant;
-
(e) identify thecategory of classtelecommunications service licence ascontemplated in theRegulationsSetting outBroadcasting andTelecommunicationsServiceLicence Categories;
-
(f) setoutacomplete,accurate andconcisestatementof thetelecommunicationsservices intended tobe provided,including a description and diagram of anynetwork tobe operated,constructedorused;and
-
(g) include anyotherinformation the applicantbelievesmight berelevant tothe Authority in considering the application.
-
(3) Theclass telecommunications service licence applicationmustbe accompaniedby therelevant applicationfeeasdeterminedbytheAuthorityfromtimetotime.
-
(4) Theclasstelecommunicationsservicelicenceapplicationmustbeaccompaniedby a spectrum use licence applicationif theapplicantintends tousespectrumin theprovisionof the telecommunicationsservice.
-
(5) The Authority may request further information or documentation,which must be provided to theAuthority in the time and themanner set outby theAuthority.
BroadcastingServicelicence applications
- (1) Anypersonintendingtoprovideabroadcastingservice as contemplated in theActandRegulationsSettingoutBroadcastingandTelecommunicationsServiceLicence Categoriesmustsubmit,inwritingtotheAuthority,anapplicationforabroadcastingservicelicence in theformmadeavailableby theAuthority.
- (2) The application must -
- (a) set out thefull and official name of the person intending to provide a broadcasting service(applicant),and if a naturalperson,theidentitynumberof thatperson,andif a juristic person,theregistration number of that person;
- (b) set out thename of the contactperson(if differentfrom the applicant)and the following contact details -
- (i) physical address;
- (i) postal address;
- (ii) telephone number(s);
- (iv) facsimile numbers(s);and
- (v) electronic mail address(es);
- (c) set outfull detailsofall ownershipinterestsinthe applicant,ncludingtheidentity andnationalityofholdersofownershipinterestsandif theholdersofownership interests are juristic persons,full details of all their ownership interests;
- (d) set out full detailsregardingforeign ownershipinterestsin the applicant;
- (e) if the applicant is a juristicperson,set out full names,nationalities and identity numbers of themembers of theBoardof Directors orothergoverningbody;
- (f) identify thecategoryofbroadcasting servicelicence as contemplatedin the Regulations Setting out Broadcasting and Telecommunications Service Licence Categories;
- (g) inrespectof thecommercial,community,andpublicbroadcastingservicecategories, indicatewhetherthe applicantintendstoprovideitsownsignal distributionservice orwhetherit intendstocontractwitha signaldistributionservicelicenseeforsuch service;
- (h) inrespectof thecommercial,community,andpublicbroadcastingservicecategories, indicatewhether the applicant intendstouse spectrum in theprovision of the broadcasting service;
- (i) setouta complete,accurateandconcisestatementofthebroadcastingservices intendedtobeprovided;
- (i) inrespectofcommercial,community,andpublicbroadcastingservicecategories,set out aproposedprogrammescheduledetailingthedailytransmissiontimeallocated to different programme types;
- (k) include astatementof accountssettingoutthefinancialresources availabletothe applicant inrelation to thebroadcastingservicelicence appliedfor;
- (1) include a concisestatement ofexpertise andexperienceof the applicant;
- (u) indicatefulldetailsofanyownershipinterestsheldinexistingbroadcastingservices licences and otherbroadcasting services licence applications,by the applicant and if the applicant is a juristic persons,bypersons who hold ownershipinterests in the applicant;and
- (n) include anyotherinformation the applicant believesmight berelevanttothe Authorityinconsideringtheapplication.
- (3) Thebroadcastingservicelicenceapplicationmustbeaccompaniedby therelevant applicationfee asdeterminedby theAuthorityfrom time to time.
- (4) Inrespectofcommercial,community,andpublicbroadcastingservicecategories,the broadcastingservicelicenceapplicationmustbeaccompaniedbyaspectrumuselicenceapplication if the applicant intends to use spectrum in theprovision of the broadcasting service.
- (5)In respect of commercial, community, and public broadcasting service categories, thebroadcastingservicelicence applicationmustbeaccompaniedby a signal distributionlicence application if the applicant intends toprovide its own signal distribution service and the applicant is not alreadyasignaldistributionservicelicensee.
- (6) TheAuthoritymayrequestfurther information or documentation,whichmust be provided to the Authority in the time and the manner set out by the Authority.
Spectrum use licence applications
- (1) discretion,determines that spectrumuse licence applicationswill beprocessed ona firstcome,first servedbasis,must submit,inwritingtotheAuthority,anapplicationforaspectrumuselicenceinthe form made availableby theAuthority.
- (2) The application must -
- (a) setoutthefullandofficialnameofthepersonintendingtousespectrum(applicant), and if a natural person, the identity number of that person, and if a juristic person, the registration number of that person;
- (b) setout thename of thecontactperson(if differentfrom the applicant)and the following contact details -
- (i) physical address;
- (i) postal address;
-
(ii) telephone number(s);
-
(iv) facsimilenumbers(s);and
-
(v) electronicmail address(es);
-
(c) set outfull details ofall ownershipinterests intheapplicant,includingtheidentity andnationality of holders of ownership interests and if the holders ofownership interests are juristic persons,full details of all their ownership interests;
-
(d) set out a complete list of radio frequencies or groups of radio frequencies being applied for;
-
(e) setoutacomplete,accurateandconcisestatementoftheservicesintendedtobe provided using the spectrum being applied for;
-
(f) include thecompletedtechnicalportionof the applicationformmadeavailableby the Authority; and
-
(g) includeanyotherinformationtheapplicantbelievesmightberelevanttothe Authorityin consideringthe application.
-
(3) The spectrum use licence application must be accompanied by therelevant applicationfee as determined by the Authority from time to time.
-
(4) TheAuthoritymayrequestfurtherinformationor documentation,whichmust be provided to the Authority in the time and themanner set out by theAuthority.
Transferof licencesand transferof control of licences
- (1)A licensee may request the Authority to authorise the transfer of its licence or the transfer ofcontrol of itslicenceby submittinginwriting to theAuthority,anapplication to transfer a licenceor transfer control of a licence,in theformmade available by theAuthority.
-
(2) Name changes and transfers of ownershipinterests notresultingina transfer of control donotrequireprior approvalfrom theAuthority,however theAuthoritymustbenotifiedof theimpendingchange at leastfourteen(14) daysprior to theeffective date.
-
(3) The application must -
-
(a) set out detailsof thelicence,includingthelicencenumberand include a copy of the licence;
-
(b) set outfulldetails of thelicensee,including thefull and official name of thelicensee, and if a natural person,theidentity number of that person,and if a juristic person, the registration number of that person;
-
(C) setout the nameof the contactperson(if different from the licensee)and the following contact details -
-
(i) physical address;
-
(ii) postal address;
-
(ii) telephone number(s);
-
(iv) facsimile numbers(s); and
-
(v) electronic mail address(es);
-
(d) in respect of telecommunications servicelicences,set out the detailsof the proposed new licensee,called for in sections 4(2) (a) -(d) and (g) of these regulations;
-
(e) inrespect ofbroadcasting service licences,setout thedetails of theproposednew licensee,called for in sections 5 (2) (a)-(e) and 5 (2) (k) -(n) of these regulations;
-
(f) inrespectofspectrumuselicences,setout the detailsof theproposednewlicensee called for in sections 6 (2) (a)-(c) and (g) of these regulations;
-
(g) set out a complete,accurate and concise statement of thereasonsfor the proposed transferortransferofcontrol;and
-
(h) include any other information the applicant believes might be relevant to the Authority in considering the application.
-
(4) Thetransfer applicationmustbeaccompaniedbytherelevantapplicationfeeas determinedbytheAuthorityfromtimetotime.
-
(5) If any amendment to the licence is sought,thelicence transfer application must be accompaniedbya licenceamendment application.
-
(6) TheAuthoritymayrequestfurtherinformation or documentation,which must be provided to the Authority in the time and the manner set out by the Authority.
Amendmentoflicences
- (1) A licenseemay request the Authority to amend its licence by submitting inwriting totheAuthority,an applicationto amend alicence intheformmade availablebythe Authority.
-
(2) Changes to the licensee's name andname and details of contactpersons donot require prior approval from the Authority,but theAuthority must be notified of the impending change at leastfourteen(14) dayspriorto theeffective date.
-
(3) The application must -
-
(a) set outdetailsof thelicence,includingthelicencenumber andincludeacopyof the licence;
-
(b) set outfull details of the licensee,including thefull and official name of thelicensee, and if a natural person,the identity number of that person,and if a juristic person, the registration number of that person;
-
(C) setoutthenameof thecontactperson(ifdifferentfromthelicensee)and the following contact details -
-
(i) physical address;
-
(i) postal address;
-
(ii) telephone number(s);
-
(iv) facsimile numbers(s);and
-
(v) electronic mail address(es);
-
(d) set outa complete,accurate andconcisestatementoftheproposed amendment;
-
(e) setouta complete,accurate andconcisestatementof thereasonsfortheproposed amendment;and
-
(f) includeanyotherinformationtheapplicantbelievesmightberelevant tothe Authority in considering the application.
-
(4) The amendment applicationmust be accompanied by therelevant applicationfee as determinedbytheAuthorityfromtimetotime.
-
(5) The Authority may request further information or documentation, which must be provided to the Authority in the time and the manner set out by the Authority.
Renewal of licences
- (1) A licensee may request the Authority to renew its licence by submitting in writing to the Authority,an application to renew a licence in the formmade available by the Authority.
- (2) The application must -
- (a) set out details of thelicence,including thelicencenumberandincludea copy of the licence;
- (b) set outfulldetails of thelicensee,including thefulland officialname of the licensee, and if a natural person, the identity number of that person,and if a juristic person, theregistration number of thatperson;
- (C) setout thenameof thecontactperson(ifdifferentfrom thelicensee)and the following contact details-
- (i) physical address;
- (i) postal address;
- (ii) telephone number(s);
- (iv) facsimile numbers(s);and
- (v) electronic mail address(es);
- (d) set out a completeand accuratestatementdetailingany actiontakenbytheAuthority orotherentitywithcompetentjurisdictioninrelationtoanybreachorallegedbreach by thelicensee of theAct,regulationsorthelicensee's licence;and
- (e) include any other information the applicant believes might be relevant to the Authority in considering the application.
-
(3) The amendment applicationmustbe accompaniedby therelevant applicationfeeas determinedby theAuthorityfrom time to time.
-
(4) TheAuthoritymayrequestfurtherinformationor documentation,whichmust be provided to theAuthority in the time and themanner set outby theAuthority.
- (1) In respect of any application made in terms of these regulations, except applications concerningspectrumused inconjunctionwith thefollowingtelecommunications
Withdrawaloflicences
- (1) Ifalicensee cannot provideserviceinaccordancewithitslicenceforaperiod greater than twenty-four (24) hours,it must notify the Authority of that occurrence within twenty- four(24)hours of the occurrence,orif thelicensee was unaware of the interruption of service,as soonasthelicenseebecomesawareof theoccurrence.
-
(2) Ifa licenseeintendstopermanentlydiscontinueprovidingserviceinaccordance with its licence,itmust request theAuthoritytowithdrawits licence by submitting inwriting to the Authority,an application towithdrawa licence in theformmade availableby theAuthority.
-
(3) The application must -
-
(a) set out full details of the licence,including the licencenumber and include a copy of the licence;
-
(b) set outfull details of thelicensee,including thefullandofficial name of the licensee, and if a natural person,the identity number of that person,and if a juristic person, the registration number of that person;
-
(C) set out the name of the contactperson(if different from the licensee)and the following contact details -
-
(i) physical address;
-
(i) postal address;
-
(ii) telephone number(s);
-
(iv) facsimilenumbers(s);and
-
(v) electronic mail address(es);
-
(d) set out a complete,accurate and concise statement of the reasonsfor the proposed withdrawal;
-
(e) set out the datethelicenseeintendstopermanentlydiscontinueprovidingservice, whichmust beat least sixty(60)days afterthe datethe applicationis submitted;
-
(f) indicatewhetherthelicenseehaspaidallfeespayable to theAuthorityinrelation to thelicence;and
-
(g) include anyotherinformation the applicantbelievesmightberelevanttothe Authorityin considering the application.
-
(4) TheAuthoritymayrequestfurtherinformationor documentation,whichmust be provided to the Authority in the time and the manner set out by the Authority.
Application procedures
services thatmaybeprovidedwithout alicence:amateur service,aeronautical service,maritime service,navigationandradarsystemservice,theAuthoritywillpublishanotice of the applicationin theGovernmentGazette.
-
(2) After theAuthoritypublishesnotice of an applicationin the Government Gazette, the publicmay submit in writing to theAuthority,comments within the time set out inthe notice, which time may not be less than fourteen (14) days from the date of publication.
-
(3) If theAuthority considersit necessary,itwill providetheopportunity to theapplicant torespondtopubliccomments.
-
(4) Applicantresponsestopubliccommentsmustbesubmittedinwritingtothe Authoritywithin thetime set outby theAuthority,whichtimemaybenot less thanfourteen(14) ispublishedinasubsequent GovernmentGazette,notlessthanfourteen(14)daysfromthedateof publication.
-
(5)The times for the submission of public comments and applicant responses are to be determinedbytheAuthorityinlightofthenatureof theapplication.
-
TheAuthority mayconsiderwrittensubmissions not timeouslyfiled if,in its opinion, it is practicable to do so.
-
(7)The Authority may request further written submissions, for example, further informationorclarification,whichmustbeprovidedtotheAuthorityinthetimeandthemannerset out by the Authority.
-
(8) Allwrittensubmissionsmust-
-
(a) contain thename andcontact details of thepersonmakingthewritten submissions andthenameandcontactdetailsofthepersonforwhomthewrittensubmissionis made,if different;
-
(b) beclearandconcise;and
-
(c) conform to anyfurtherrequirements determinedbytheAuthorityfromtime to time.
-
(9) Afterconsideringanyapplicationmadeintermsoftheseregulations andanywritten andoral submissions,theAuthoritywilleitherdenytheapplicationorgrant the application,inwhole or in part, and -
-
(a) issuethe appropriatelicenceinrespectofclasstelecommunicationsservicelicence applications,broadcasting services licence applications and spectrum use licence applications;
-
(b) issue the appropriate licence to the transfereeinrespect of licence transfer applications;
-
(c) issue an amended licence in respect of licence amendment applications;or
-
(d) issuearenewallicenceinrespectoflicencerenewal applications.
-
(10) In the event theAuthority is unable to render a decisionwithin thirty (30) days, theAuthoritywillinformtheapplicant orlicenseeofitsinabilityandthereasonsforsuchinability andwhatmeasuresarebeing taken to address thematter urgently,whichmatter mustthen be
addressedwithinafurthermaximumperiodoffourteen(14)days,unlesstheAuthorityhasidentified extraordinary circumstances,beyonditsreasonable control thatmakes it impossibletorender its decisionwithinthefurthermaximumperiodoffourteen(14)days.
Application procedures concerning spectrum used in conjunction with licence exempt telecommunicationsservices
- 12.(1)In respect of any application concerning spectrum used in conjunction withthefollowingtelecommunicationsservicesthatmaybeprovidedwithout alicence:amateur service,aeronautical service,maritime service,navigation andradarsystemservice,theAuthority maypublishanoticeof theapplicationintheGovernmentGazetteandfollowtheproceduresetout inregulation11 above,orit mayfollowtheproceduressetoutinthisregulation12.
- (2)After considering any application made in terms of this regulation and any further informationsubmittedbytheapplicant,theAuthoritywilleitherdenytheapplicationorgrantthe application,in whole or in part,and-
- (a) issuethe appropriatelicenceinrespect ofclasstelecommunicationsservicelicence applications,broadcasting services licence applications and spectrum use licence applications;
- (b) issue the appropriate licence to the transferee inrespect of licencetransfer applications;
- (c) issue an amended licence in respect of licence amendment applications;or
- (d) issue arenewal licence inrespect of licencerenewal applications.
- (3) In the event theAuthority is unable torender a decisionwithin thirty(30) days, theAuthoritywill informthe applicant or licensee ofitsinability and thereasonsforsuchinability andwhatmeasures arebeing takentoaddress thematterurgently,whichmattermust thenbe addressedwithin afurthermaximumperiodoffourteen(14) days,unlesstheAuthorityhasidentified extraordinarycircumstances,beyonditsreasonablecontrolthatmakesitimpossibletorenderits decisionwithin thefurther maximumperiod of fourteen(14) days.
Licencemodificationprocedures
- (1l) The Authority may initiate a licence modification proceeding contemplated in section42(2)of theAct byprovidingnoticetoa licenseesetting out theproposedmodification and thegroundsforsuchmodification.
- (2)The licensee may submit in writing to the Authority,comments within the time set out in thenotice,which timemaynot beless than thirty(30) daysfrom thedate of notice.
- (3)Thereafter, the Authority will publish a notice, either as originally proposed or as modified takinginto account the licensee'scomments,of aproposed licence modification in the GovernmentGazette.
- (4)After the Authority publishes the notice of a proposed licence modification in the Government Gazette,thepublicmaysubmitinwritingtotheAuthority,commentswithinthetime setoutinthenotice,which timemaynotbeless thanthirty(30)daysfrom thedateofpublication.
-
(5) IftheAuthorityconsidersitnecessary,itwillprovidetheopportunitytothelicensee torespondtopubliccomments.
-
(6) Licenseeresponses topubliccommentsmust besubmitted inwriting to theAuthority withinthetimesetoutbytheAuthority,whichtimemaybenotlessthanfourteen(14)daysfromthe submissionofpubliccommentsorif theopportunityforthesubmissionofresponsesispublishedin a subsequent Government Gazette,notless thanfourteen(14) daysfromthe dateofpublication.

(7) The timesfor thesubmissionofpubliccomments and licenseeresponsesaretobe determinedby theAuthorityinlight of thenatureof theapplication.

(8) The Authority may consider written submissions not timeously filed if,in its opinion, it is practicable to do so.
-
(9)The Authority may request further written submissions,for example,further informationorclarification,whichmustbeprovidedtotheAuthorityinthetimeandthemannerset out by the Authority.
-
(10)All written submissions must -
-
(a) containthenameandcontactdetailsofthepersonmakingthewrittensubmissions andthenameandcontactdetailsofthepersonforwhomthewrittensubmissionis made,if different;
-
(b) be clear and concise;and
-
(c) conformtoanyfurtherrequirementsdeterminedbytheAuthorityfromtimetotime.

(11)Afterconsidering anywritten and oral submissionsinrespect of aproposed licence modification,theAuthoritymusteitherissuea modified licenceor decidenottoissuethemodified licence.
-
(12)In the event theAuthority is unable torender a decisionwithin thirty (30) days, theAuthoritywillinformtheapplicantorlicenseeofitsinabilityandthereasonsforsuchinability andwhatmeasures arebeingtakento address thematterurgently,whichmattermust thenbe addressedwithinafurthermaximumperiodoffourteen(14)days,unlesstheAuthorityhasidentified extraordinary circumstances,beyond itsreasonable control thatmakes it impossibletorender its decisionwithinthefurthermaximumperiodoffourteen(14)days.
Oral hearings
-
14.(1)If the Authority considers it necessary or appropriate, it will also hear oral submissionsinrespect of any applicationmadein termsof theseregulationsor anylicence modification proceeding.
-
(2) TheAuthority must invite the public tomake oral submissions at leastfourteen(14) days prior to the hearing.
-
(3) Unless otherwise specified by theAuthority,hearingswill be open to the public.
-
(4) The format and agenda of the hearing is at the discretion of the Authority, depending onthenature of theproceeding,provided however,that thehearingshouldbeinformal innature.
-
(5) All oralsubmissionsmust-
-
(a) includeastatementindicatingthename andcontactdetailsof thepersonmakingthe oralsubmissionandthenameandcontactdetailsofthepersonforwhomtheoral submission is made,if different;
-
(b) be clear and concise;and
-
(c) conform toanyfurtherrequirementsdeterminedbytheAuthorityfromtimetotime.
-
(6) If theAuthorityconsidersitnecessary,itwill provide theopportunitytothelicensee orapplicant torespond to oral submissions.
-
(7)TheAuthority may request further oral or written submissions,for example,further information orclarification,whichmustbeprovided totheAuthorityin the time and themannerset out bytheAuthority.
-
(8)At the conclusion of the hearing, a concise report summarising the oral submissions mustbeprepared andplaced in therelevant applicationfilebytheAuthority.
Confidential information
- 15.(l)Any person providinginformation or documentation may designate informationasconfidential,provided,however,iftheAuthorityisof theopinionthattheinformation isnotconfidential,itmustinformthepersonthatitmaywithdrawtheinformation,agreethatitwill notbetreatedasconfidential,orrequestahearingontheissueofconfidentialitytobeconductedin termsofsection28oftheAct.
- (2)Anyperson making oral submissions may request a closed hearing on the grounds thatthesubmissionsareconfidential.Closedhearingswillbetreatedasconfidentialmeetingsin termsofsection29of theAct,and thenoticeof theclosedmeetingrequiredbysection29(4)mustbe maintainedintherelevantapplicationfile.
Condonation
- 16.(1) In theevent anypartyis unable to complywith thetimes set out in these regulations,theymayrequest from theAuthority an extension of time at least seven(7) daysprior to thetimeset out.
- (2) TheAuthoritywillrespondtotherequestforcondonationwithintwo(2)days,and mayeithergrantordenytherequest,initssolediscretion,basedon,amongotherthings,thenature of theproceedingand thereasonsfornon-compliancewith thetimesset out.
Ex parte communications
- 17.A person may not communicate with the members of the Board, the CEO or staff members of,orconsultants to theAuthority,todiscuss the subject matterof anapplication proceeding, except asprovidedforherein.
Record of proceedings
- 18.(1) AlldocumentsdeemedrelevantbytheAuthoritytotheapplication proceedings contemplated by these regulations,including information and documentation provided in termsof theseregulationsanddecisionsmadebytheAuthority,mustbemaintainedbytheAuthority separatelyforeach application infiles located at the head offices of theAuthority and,ifpracticable, on theAuthority'swebsite.
- (2) Except for confidential information, any person may examine the application proceedingfiles either at thehead offices of the Authority during normal business hours and copies maybemade onpaymentof afeedeterminedby theAuthorityfromtime totime,and,if available, on the Authority'swebsite where copies maybe downloaded free of charge.
Publication of licensing decisions and licences
- 19.(1) Alldecisionsmadeintermsof theseregulationswillbecommunicatedto theapplicants and otherrelevantpartiesinwriting togetherwithreasons,andmaybepublishedinthe Government Gazette.
- TheAuthority'sregisteroflicencesmaintainedintermsofsection27(3)of theAct and copiesof all licences,will be held at theheadoffices of theAuthority and if practicable,on the Authority's website.
- (3)Any person may examine the register of licences and copies of licences either at the head offices of the Authority during normal business hours and copies may be made on payment of afeedeterminedbytheAuthority,and,ifavailable,ontheAuthority'swebsitewherecopiesmaybe downloadedfreeofcharge.
Reconsideration
- 20.(1l)The Authority may, on its own, reconsider any decision made in terms of theseregulationswithinthetimesetoutinsection31of theAct.
- (2)Any person may submit to the Authority in writing a request toreconsider any decisionmadein terms of theseregulationswithin thirty(30) days of notice of the decision,and the Authoritywill reconsidersuchregulationwithin the time set out in section31 of theAct.
- (3)The Authoritymaypublishits decision onreconsiderationwithoutfurther submissions beingreceived,orit mayprovidean opportunityforfurther submissionsin amanner set out by theAuthority.
Repeal of Regulations
- 21.The Regulations Regarding Licensing Procedures for Telecommunications and BroadcastingServiceLicencesandSpectrumUseLicencespublishedinGovernmentGazette4714, No.127of2011,dated18May2011,areherebyrepealed.

Definitions
- In theseregulations,anyword orexpression to which a meaning is assigned in the Act,shall have the samemeaning,and-
"Act”means the Communications Act No.8of 2009.
SubmissionofdocumentstotheAuthority
- In these regulations“submit in writing to the Authority”means either physically or electronically-
-
(1) byhand to the head officesof the Authority,namely CommunicationHouse,56 RobertMugabeAvenue,Windhoekoratany otheraddresssetoutbytheAuthorityfromtimetotime;
-

Applicability
- These regulations are applicable to the transition of licences and specifically to -
-
(1) licensees contemplated in sections92 and 135(2) of theAct;
-
(2) persons lawfully providing services without a licence contemplated in section135(5) of theAct,including theNamibianBroadcasting Corporation;
-
(3) TelecomNamibiaLimited's deemed applicationsinterms of sections 45(1) and 101(9) of the Act;
-
(4) applicants contemplated in section135(10) of the Act;
-
(5) person’shavingauthority touse spectrum contemplatedin section101(11) of the Act;and
-
(6) the applicationtouse spectrumrequiredfor defencepurposes by theNamibian DefenceForce or any other organ of theState in terms of section101(12) of theAct.
Telecommunications and broadcasting servicelicenseescontemplated insections92 and135(2) of theAct
- (1) Apersonwhoholds alicencetoprovidetelecommunications servicesor broadcastingservicesoroperate,constructoruseanelectroniccommunicationsnetworkcontemplated bysection135(2) of theAct,must submit acopyof their licence or licences to theAuthoritywithin sixty(60)daysfromthedatetherelevant provisions of theActcomeintooperation,provided thatif any of thefollowinginformationisnot included inthelicence or licences orisinaccurate asrecorded
in thelicence orlicences,thelicenseemust submit suchinformationinwritingintheformmade availablebytheAuthority-
-
(a) full andofficialnameof thelicensee andif anaturalperson,theidentitynumber of that person,and if a juristic person,the registration number of that person;
-
(b) name of the contact person (if different)and the following contact details -
-
(i) physical address;
-
(i) postal address;
-
(ii) telephonenumber(s);

-
(h) any otherinformation the licenseebelievesmightberelevant to theAuthorityin carrying out its functions set out in section135(2) of theAct.

(2) TheAuthority mayrequestfurther information or documentation,whichmust be provided to theAuthority in the time and the manner set out by the Authority.
Persons lawfully providingserviceswithout a licence contemplated insection135(5)of theAct, including theNamibianBroadcasting Corporation;and Telecom Namibia Limited's deemed applications in terms of sections45(1)and101(9)of theAct
- (1)A person who is lawfully providing a service or operating, constructing or usinganetworkwithoutalicenceascontemplatedinsection135(5)oftheAct(includingNamibian BroadcastingCorporation andTelecomNamibiaLimited),must submit,inwritingto theAuthority withinninety (90) days from the date therelevant provisions of the Act come intooperation,the following information and documentation in the form made available by the Authority -
-
(a) thefullandofficialnameofthepersonprovidingaserviceoroperating,constructing or using a network,and if a natural person,the identity numberof that person,and if a juristic person,the registration number of that person;
-
(b) thename of thecontact person(if different) and thefollowing contact details-
-
(i) physical address;
-
(i) postal address;
-
(ii) telephone number(s);
-
(iv) facsimile numbers(s);and
-
(v) electronicmail address(es);
-
(C) full details ofallownershipinterestsin thepersonreferred toinregulation 5(1) (a),includingtheidentityandnationalityofholdersofownershipinterestsandif the holders of ownershipinterestsarejuristicpersons,full details of all thejuristic persons'ownership interests;
-
(d) fulldetailsregarding foreign ownership interests in the personreferred toin regulation5(1)(a);and
-
(e) a complete,accurate and concise statement of the services being provided, including a descriptionanddiagramofanynetworkoperated,constructedorused.

(2) Any person whois lawfully providing a service or operating,constructing or usinga networkwithoutalicenceascontemplatedinsection135(5)oftheAct(excludingTelecomandthose persons providing services thatmaybe providedwithout alicencein terms ofregulationsmadein terms ofsection37theAct),must submitinwritingto theAuthoritywithin thetimesetoutinsection 135(5) the Act, an application for a licence or licences in the form made available by the Authority.
-
(3) The applicationmust --
-
(a) identify thelegalbasis onwhich the service isprovidedor network operated, constructed or used;
-
(b) indicate thelicenceor licences thatthepersonreferred toinregulation5(2) believes it is entitled toin terms of theRegulationsSettingoutBroadcasting and TelecommunicationsService Licence Categories,setting outa clear and concise statementofmotivation,includingreferencetotherelevantprovisionsoftheAct and regulations; and
-
(C) include any otherinformationthepersonreferredtoinregulation5(2)believesmight berelevant to the Authority in carrying out it functions set out in sections135(5-8) of theAct.
-
(4) TelecomNamibia Limitedmust submit inwriting to theAuthoritywithin six(6) monthsof thecomingintooperationof theAct,anamendment toits deemed licenceapplication providedforinsections45(1) and101(9) of theAct,proposing detailed licence conditionsrelated to theissues setoutinsections 45(2),45(3),45(4),45(5),45(6)of theActintheformmade available by the Authority.
-
(5) TheAuthoritymayrequestfurtherinformation or documentation,whichmustbe provided to the Authority in the time and the manner set out by theAuthority.
Applicantscontemplated insection135(10)of theAct
- (1)Anypersonwhohas anapplicationpendingbefore the Namibian CommunicationsCommission ascontemplatedinsection135(10) of theAct,must submit inwriting to theAuthoritywithinsixty(60)daysfrom thedatetherelevantprovisionsof theActcomeinto operation, the following information and documentation in the form made available by the Authority -
-
(a) thefullandofficial name of the applicant andif anaturalperson,theidentitynumber of that person,and if a juristic person,theregistration number of that person;
-
(b) the name of the contactperson(if different) and the following contact details-
-
(i) physical address;
-
(i) postal address;
-
(ii) telephone number(s);
-
(iv) facsimilenumbers(s);and
-
(v) electronicmail address(es);
-
(c) a copyof thepending application if available orif not available,a concisestatement of the application,and a concisestatement of the history and status of the application; and
-
(d) anamendmenttotheapplicationascontemplatedinsection135(11)toinclude-

(i) fulldetailsofallownershipinterestsintheapplicant,includingtheidentity andnationalityofholdersofownershipinterestsandiftheholdersof ownershipinterests arejuristic persons,full details of allthejuristic persons ownershipinterests;
-
(i) full detailsregardingforeign ownershipinterests in the applicant;and
-
(iii) any other amendment,setting out clear and concise reasons for the amendment,includingreferences to anyrelevant provisions of the Act.

(2) TheAuthoritymayrequestfurther information or documentation,whichmust be provided to the Authority in the time and the manner set out by the Authority.
Persons having authority to use spectrum contemplated in sections 101(11) of the Act
- (1) Anypersonwhoholds a licence,certificate or authority(collectively,in this regulation 7,a licence)contemplatedby section101(11) of theAct must submit a copy of their licenceorlicencestotheAuthoritywithinsixty(60)daysfromthedatetherelevantprovisionsof theActcomeintooperation,providedthatif anyof thefollowinginformationisnotincludedinthe licenceorlicences orisinaccurate asrecordedinthelicenceorlicences,thelicenseemustsubmit such information in writing in the form made available by the Authority -
-
(a) fullandofficialnameof thelicensee,andifanaturalperson,theidentitynumberof that person,and if a juristic person,the registration number of that person;
-
(b) name of the contact person(if different) and thefollowingcontact details-
-
(i) physical address;
-
(i) postal address;
-
(ii) telephone number(s);
-
(iv) facsimilenumbers(s);and
-
(v) electronicmail address(es);
-
(C) fulldetailsofallownershipinterestsinthelicensee,includingtheidentityand nationality of holders of ownershipinterests andif the holdersofownershipinterests arejuristic persons,full details of all thejuristic persons’ownershipinterests;

(e) a complete and accuratelist of licences,certificates and authorities held,and in respect of spectrum use licences,a list of radiofrequencies or groups ofradio frequencieslicensed,andaconciseexplanationoftheservicesprovidedusingthe spectrum,including a description and diagram of any network operated,constructed orused;
-
(f) anindicationwhetherand towhat extent the spectrum is currentlybeingused;and
-
(g) anindicationwhetherandtowhatextentspectrumusefeeshavebeenpaid andproof thereof.
-
(2) TheAuthority may request further information or documentation,whichmust be provided to the Authority in the time and the manner set out by the Authority.
The application to use spectrum required for defence purposes by theNamibian DefenceForce oranyotherorganof theStateintermsofsection101(12)oftheAct
- (1) TheNamibianDefenceForce and any other organ ofStateusingspectrum for defence purposes that is a deemed licensee in terms of section 101(12) of theAct,must submit inwriting totheAuthoritywithinninety(9o)daysfrom thedatetherelevantprovisions oftheAct comeintooperation,thefollowinginformationanddocumentationin theformmade availableby the Authority-
-
(a) thefull andofficialname of the deemed licensee;
-
(b) thename of thecontact person and thefollowingcontact details-
-
(i) physical address;
-
(i) postal address;
-
(ii) telephone number(s);
-
(iv) facsimile numbers(s);and
-
(v) electronic mail address(es).
-
(2) TheNamibianDefenceForceand anyother organofStateusingspectrumfor defence purposes that is a deemed licensee in terms of section 101(12) of the Act must also submit inwriting to theAuthoritywithin the time set out insection101(12) of theAct,an applicationfor a licence or licencesrequiredby theAct.
-
(3) The application must include-
-
(a) a complete and accurate list of radio frequencies or groups of radio frequencies that havebeen assigned toit for defence purposes;
-
(b) anindicationwhether and towhatextent thespectrum is currentlybeingused;
-
(c) acopyofanyradiofrequencyassignments;
-
(d) anindicationwhetherandtowhatextentspectrumusefeeshavebeenpaidandproof thereof;
-
(e) anyotherinformationthedeemed licenseebelievesmightberelevanttotheAuthority in carryingout it functionsset out insections101(12)of theAct.
-
(4) TheAuthority may requestfurther information or documentation,which must be provided to the Authority in the time and themanner set out by theAuthority.
Licencereviewprocedures
- (1) InrespectofanylicencereviewtobeperformedbytheAuthorityintermsof theseregulations,assoon aspossible afterreceivingtheinformation submittedbylicenseesinterms oftheseregulations,theAuthoritywill publishanoticeintheGovernmentGazettesettingoutthelist of licences issued underprevious licensing dispensations alongwith an indication as towhat licence orlicenceswillbeissuedto thelicenseesintermsof theRegulationsSettingoutBroadcastingand TelecommunicationsServiceLicenceCategories.
- (2)Any person who has a right to a licence that does not appear on the list contemplated inregulation9(1) above,must submit theinformationrequiredby theseregulationsinwritingtothe Authoritywithinfourteen(14)daysfromthedateofpublicationoftheGovernmentGazettereferred toinregulation9(1),afterwhichtheAuthoritywillpublishasecondnoticeintheGovernment Gazettesettingoutarevisedlistoflicences.
- (3)After the Authority publishes the second notice referred to in regulation 9(2), the public may submit in writing to theAuthority,comments,within thirty(30) daysfrom the date of publication.
- (4) If theAuthorityconsidersitnecessary,itwill provide the opportunity to thelicensee torespond topubliccomments.
- (5)1 Licenseeresponsestopubliccommentsmust besubmitted inwritingtotheAuthority withinthetimesetoutbytheAuthority,whichtimemaynotbelessthanfourteen(14)daysfromthe submission ofpubliccomments orif the opportunityfor thesubmission ofresponsesispublishedin a subsequent Government Gazette,notlessthanfourteen(14) daysfrom the date of publication.
- (6) Thetime for the submission oflicenseeresponses are tobe determinedby the Authority in light of thenature of thereviewproceeding.
- (7)The Authority may consider written submissions not timeously filed if, in its opinion, it is practicable to do so.
- (8)The Authority may request further written submissions, for example,further informationorclarification,whichmustbeprovidedtotheAuthorityinthetimeandthemannerset out by theAuthority.
- (9) All written submissions must -
- (a) containthename andcontactdetailsof thepersonmakingthewrittensubmissions andthenameandcontactdetailsofthepersonforwhomthewrittensubmissionis made,ifdifferent;
-
(b) beclearandconcise;and
-
(c) conform toanyfurtherrequirementsdeterminedbytheAuthorityfromtimetotime.

(10)After receiving any written and oral submissions, the Authority will issue theappropriatenewlicencescontemplatedintheRegulationsSettingoutBroadcastingand TelecommunicationsServiceLicence Categories tolicensees,provided however-
-
(a) Ifanylicenseedoesnotprovideall of theinformationrequiredbytheseregulations in the timeprovided,thelicensee's licencemayberevoked by theAuthority andno newlicence will beissued,and in the case of spectrum licences,spectrummay be reallocatedtootherlicensees;and
-
(b) No new licence will be issued to licensees in terms of these regulations until-
-
(i) allfees due andpayableinrespect of thelicencesbeingreviewed arepaid; and
-
(i) all licences issued underprevious licensing dispensations arereturned to the Authority;and
-
(C) If the licensee is providinga servicethatfallswithin the category of services that maybeprovided without a licence,the Authority will not issue a service licence to that person.
Transitional licence application procedures
-
10.(1) Exceptingthe application tousespectrumby theNamibianDefenceForce and anyotherorganofStateusingspectrumfordefencepurposes,inrespectof anylicenceapplication made or amended in terms of theseregulations,theAuthoritywill publish notice of the application intheGovernmentGazette.
-
(2)After the Authority publishes a notice of an application in the Government Gazette, the public may submit in writing to the Authority,comments,within the time set out in the notice, whichtimemaynotbelessthanfourteen(14)daysfromthedateofpublication.
-
(3) If theAuthorityconsidersitnecessary,itwillprovide the opportunitytotheapplicant torespondtopubliccomments.
-
Applicantresponses to public commentsmust be submitted in writing to the Authoritywithin thetimeestablished by theAuthority,which time maybe not less thanfourteen(14) daysfrom the submission ofpubliccommentsorif the opportunityfor thesubmissionofresponses ispublishedinasubsequent Government Gazette,notlessthanfourteen(14) daysfrom thedateof publication.
-
(5)The times for the submission of public comments and applicant responses are to be determinedbytheAuthorityinlightofthenatureofthelicenceapplication.
-
(6)The Authority may consider written submissions not timeously filed if, in its opinion, it is practicable to do so.
-
(7)The Authority may request further written submissions,for example,further informationorclarification,whichmustbeprovidedtotheAuthorityinthetimeandthemannerset out by the Authority.
-
(8) Allwrittensubmissionsmust-
- (a) contain thename andcontact detailsof thepersonmakingthewrittensubmissions andthenameandcontactdetailsofthepersonforwhomthewrittensubmissionis made,if different;
- (b) be clear and concise;and
- (c) conform to anyfurther requirementsdetermined by theAuthorityfrom time to time.
- (9) Afterconsideringanylicenceapplicationmadeoramendedin termsof these regulations and anywritten andoral submissions,theAuthoritywill either deny the application or grant the application,inwhole orin part,and issue the appropriate licence or licences contemplated in theRegulationsSettingoutBroadcasting andTelecommunicationsService Licence Categories, provided however-
- (a) If any applicant doesnot provideall of theinformationrequired by theseregulations in the timeprovided,theAuthority will not grant andissue a licence;and
- (b) If the applicant is intending to provide a service that fallswithin the category of servicesthatmaybeprovidedwithoutalicence,theAuthoritywillnotissueaservice licence to thatperson.
Oral hearings
-
11.(1) If theAuthorityconsiders it necessary or appropriate,itwill alsohear oral submissionsinrespectof anylicencereviewcarriedout orlicenceapplicationmadeor amended in terms of theseregulations.
-
(2) The Authoritymust invite the public to make oral submissions at least fourteen (14) days prior to the hearing.
-
(3) Unless otherwise specified by theAuthority,hearingswill be open to thepublic.
-
(4) The format and agenda of thehearingis at the discretion of theAuthority,depending on the nature of the proceeding, provided however, that the hearing should be informal in nature.
-
(5) All oral submissions must-
-
(a) includeastatementof thenameandcontactdetailsofthepersonmakingtheoral submissionandthenameandcontactdetailsofthepersonforwhomtheoral submissionismade,if different;
-
(b) be clearand concise;and
-
(c) conformtoanyfurtherrequirementsdeterminedbytheAuthorityfromtimetotime.

(6) If theAuthorityconsidersitnecessary,itwillprovidethe opportunitytothelicensee orapplicanttorespondtooralsubmissions.

TheAuthoritymayrequestfurther oral orwrittensubmissions,forexample,further informationorclarification,whichmustbeprovidedtotheAuthorityinthetimeandthemannerset out by the Authority.

At theconclusionof thehearing,a concisereport summarising the oral submissions must be prepared and placed in the relevant file by the Authority.
Confidential information
- 12.(1) Anypersonprovidinginformationordocumentationmaydesignate informationasconfidential,provided,however,if theAuthorityisoftheopinionthattheinformation isnotconfidential,itmustinformthepersonthatitmaywithdrawtheinformation,agreethatitwill not betreated as confidential,orrequest ahearingon theissue ofconfidentiality tobeconducted in termsofsection28of theAct.
- (2)Any person making oral submissions may request a closed hearing on the grounds that the submissions are confidential.Closed hearingswill be treated as confidential meetings in terms of section29of theAct,and thenoticeof the closedmeetingrequiredbysection29(4)must be maintainedin therelevantfile.
Condonation
- (1) In the event anypartyis unable to complywith the timessetoutinthese regulations,theymay request from the Authority anextension of time at least seven (7) days prior to the time set out.
- (2) TheAuthoritywill respond to the requestforcondonationwithin two(2) days,and may eithergrant or denytherequest,inits solediscretion,basedon,among other things,thenature of the proceeding and the reasonsfor non-compliance with the times set out.
Exparte communications
- 14.Aperson maynot communicatewith the members of theBoard,the CEOor staff membersof,or consultants to theAuthority to discussthe subjectmatter of a licencereview or
Record of proceedings
- 15.(1)All documents deemed relevant by the Authority to the licence review proceedingscontemplatedbytheActand theseregulations,including information anddocumentation providedintermsoftheseregulationsanddecisionsmadebytheAuthority,mustbemaintainedby theAuthorityinafileat thehead offices of theAuthority and ifpracticable,on theAuthority's website.
- (2) All documentsdeemedrelevantbytheAuthoritytothelicenceapplicationproceedings contemplatedbytheAct and theseregulations,includinginformation anddocumentationprovided in terms of theseregulations anddecisionsmadeby theAuthority,mustbemaintained by theAuthority separatelyfor each applicationproceeding infileslocated at thehead officesof theAuthority and if practicable,electronically,ontheAuthority'swebsite.
- (3) Except for confidential information,any personmay examine the licence review and licence application proceedings files either at the head officesof theAuthority duringnormal business hours and copies may bemade on payment of a fee determined by the Authority,or,if available,on theAuthority'swebsitewhere copiesmaybe downloaded free of charge.
Publication of licensing decisions and licences
- (1)All decisions made in terms of these regulations and the relevant provisions of theActwill becommunicated to the applicants and licensees and otherrelevant parties inwriting togetherwithreasons,andmaybepublished in the Government Gazette.
- (2) TheAuthority'sregisterof licencesmaintainedintermsofsection27(3) of theAct and copiesofall licences,will beheld at theheadofficesof theAuthority and ifpracticable,onthe Authority'swebsite.
- (3) Anypersonmayexamine theregister of licences andcopiesof licenceseitherat the headoffices of theAuthorityduringnormal businesshours andcopiesmaybemadeonpayment of a fee determinedby theAuthority,or,if available,on theAuthority'swebsitewherecopiesmay be downloaded free of charge.
Reconsideration
- (1) TheAuthoritymay,onits own,reconsider any decisionmadein termsof theseregulationswithin thetimesetout insection31of theAct.
- (2) AnypersonmayrequesttheAuthorityinwritingtoreconsider anydecisionmade in terms of theseregulationswithin thirty(30) days ofnotice of the decision,and theAuthoritywill reconsidersuchregulationwithinthetimesetoutinsection31oftheAct.
- (3) The Authority may publish its decision on reconsideration without further submissions being received, or it may provide an opportunity for further submissions in a manner statedbytheAuthority.
Repeal of Regulations
- The Regulations Regarding Transitional Procedures for Telecommunications and BroadcastingServiceLicences andSpectrumUseLicencespublishedinGovernment Gazette 4714, No.125of2011,dated18May2011,areherebyrepealed.
